Terms of Use

These Terms of Use ("Terms") govern the relationship between Western Software Professionals (a Turkish sole proprietorship, Tax ID: 5771256742, Güvenevler Mah. 29083. Sk. No:5, 27560 Şehitkamil/Gaziantep, Türkiye — "QEMSY" or "Service Provider") and the business registering on the QEMSY platform ("Organization").

The person registering with QEMSY represents that they are authorized to enter into this agreement on behalf of the organization and that they accept these Terms and the Privacy Policy on the organization's behalf. Checking the consent box during registration constitutes electronic acceptance of these Terms.

QEMSY is a multi-tenant software-as-a-service (SaaS) platform delivering hierarchical task assignment, mission/checklist-based operations management, staff performance measurement, shift/leave tracking, and reporting via the cloud. The service is offered in free and paid tiers; the scope of each tier (person/unit/task limits) is stated on a current basis within the application.

• The Organization must provide accurate and up-to-date information when registering.
• The Organization administrator is responsible for the credentials (Company ID + E-mail + Password) of the staff accounts it creates, and for their secure use.
• QEMSY cannot be held liable for damages arising from sharing a password with third parties or from unauthorized use of an account; any suspected unauthorized access must be reported immediately to contact@wsptekno.com.

Paid tiers are billed as a one-time payment for the chosen period (monthly/annual), calculated based on the selected number of persons, and collected through the PayTR infrastructure. Current pricing, discounts, and tier limits are shown on the Subscription page and are deemed accepted upon payment confirmation.

Card details are not stored on QEMSY servers; the payment transaction takes place directly within PayTR's secure infrastructure.

QEMSY does not currently apply automatic renewal; each period is paid separately and consciously by the Organization. If no new payment is made at the end of a period:

• The account is suspended — data is not deleted, but access to paid-tier features is stopped;
• If the Organization reduces its person/unit/task counts below the free-tier limits (10 people / 10 units / 50 tasks), suspension does not apply and the Organization may continue uninterrupted on the free tier.

Cancellations made outside the 14-day window are not refunded for that period; the Organization may continue using the service until the end of the period, at which point Article 5 applies.

The Organization and its users may not use QEMSY to:

• Produce or share content that violates applicable law, public order, or morality,
• Attempt to breach the system's security, gain unauthorized access to data, or reverse-engineer the service,
• Attempt unauthorized access to another organization's data,
• Overload or abuse the service through excessive automated requests (bots, scraping, etc.).

Violation of this Article may result in suspension or termination of the account under Article 12.

The Organization retains ownership of all data it enters into the system (staff information, task content, mission templates, evidence files, etc. — "Organization Content"). The Organization is responsible for the lawfulness and accuracy of the Organization Content and for informing/obtaining consent from its staff under KVKK (see Privacy Policy, Article 11). QEMSY processes Organization Content solely to provide the service.

The QEMSY software, interface design, the "QEMSY" trademark, and all related intellectual property rights belong to Western Software Professionals. The Organization is granted a non-exclusive, non-transferable right to use the service for its contractual purpose for the duration of the subscription only. These Terms grant the Organization no ownership rights in the QEMSY software's source code, design, or trademark.

QEMSY makes reasonable efforts to provide the service continuously but does not commit to a specific availability (SLA); temporary interruptions may occur due to maintenance, updates, or causes outside QEMSY's control (e.g. Google Cloud/Firebase infrastructure outages). QEMSY may update the service's features, tier limits, and pricing with reasonable prior notice; no adverse change is applied retroactively within an already-paid period.

This limitation does not exclude liability arising from QEMSY's gross negligence or willful misconduct.

The Organization may end the service at any time by cancelling its subscription (see Articles 5–6). QEMSY reserves the right to suspend or terminate the Organization's account, with reasonable notice, in the event of a violation of Article 7, prolonged non-payment, or misuse of the service. Data retention/deletion periods following termination are governed by Privacy Policy, Article 9.

Details on the processing of personal data are set out in the Privacy Policy; details on cookie use are set out in the Cookie Policy. These documents form an integral part of these Terms.

Neither party is liable to the other for delays or failures to perform arising from circumstances beyond its reasonable control, such as natural disaster, war, pandemic, general internet outages, or prolonged service interruptions of third-party infrastructure providers (Google Cloud/Firebase, PayTR).

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Gaziantep, Türkiye have exclusive jurisdiction over any dispute arising from these Terms.

QEMSY may update these Terms from time to time. Organization administrators are notified by e-mail of material changes; the current version is always published on this page. Continued use of the service after a change constitutes acceptance of the updated Terms.
